Yes, the fine print.

  • STUDIO PELZ is based in Philadelphia, Pennsylvania. These Terms and Conditions, and any agreement formed under them, are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles. Any dispute, claim, or proceeding arising out of or in connection with these Terms shall be brought exclusively in the state or federal courts located in Philadelphia, Pennsylvania, and both parties agree to submit to the personal jurisdiction of those courts.

    It is agreed that all work and materials provided to the Client by the Studio will be free and clear of any liens or encumbrances and may be lawfully used by the Client without infringing on the rights of others — including, without limiting the generality of the foregoing, the copyright, trade secret, patent, or trademark rights of any third party.

    It is agreed that the Studio indemnifies and holds the Client harmless from and against all claims for injury or death to persons or damage to property (including the costs of litigation and legal fees) caused by, arising from, or incidental to the services to be performed during the work outlined — except in cases where such claims are caused by the negligence of the Client or its employees. We agree to notify the Client in writing with full details of any such claim.

    Under no circumstances shall the Studio be liable to the Client for any indirect or consequential loss suffered by the Client in reliance on the information provided in the materials prepared by STUDIO PELZ, including (without limitation) loss of profit, loss of contracts, or pure economic loss. Any liability is strictly limited to the direct losses associated with the remedial costs of the materials themselves, and does not extend to claims for delays, out-of-sequence working, non-productive overtime, award of costs, or similar. Liability to any third party for any reason is specifically excluded unless separately agreed in writing.

  • If a Client misplaces or accidentally deletes the files delivered by the Studio at the end of a project, STUDIO PELZ can re-upload them to Dropbox for a fee of $50 USD per request — provided the request is made within 2 years from the date of project completion

  • If you submit, post, or share any content with us — including comments, feedback, testimonials, social media posts, or any other materials — you confirm that you own the content, or that you have permission from the rightful owner to share it.

    By submitting, you grant us a perpetual, royalty-free, irrevocable, and unrestricted license to use, edit, distribute, and share your content in any format, now or in the future. This means we may feature your reviews, testimonials, or success stories on our website, in marketing materials, or across other platforms, including with your name or social handle (if applicable). We won't claim ownership over your content, but we may use it to inspire and inform others in our community.

  • Once a creative project is complete, STUDIO PELZ will give the Client the opportunity to review the resulting work. The Studio includes two sets of minor changes at no additional cost, provided they fall within 10 days of the start of the review period. The review period begins on the date the creative work is delivered to the Client by the Studio, whether electronically or physically.

    Minor changes include small textual edits and small adjustments to the placement of items on the page. More specifically, minor changes are defined as small adjustments to text, colors, and design within reason, and as changes that take no more than 3 hours of studio time. They do not include changes to images, color schemes or palettes, navigation features, scene changes, scene flow, soundtracks, or re-edits.

    Minor changes may be communicated to the Studio and confirmed via email. STUDIO PELZ will consider the original draft to be accepted if no written notification of changes is received from the Client within 10 days of the start of the review period. Payment of invoices is also taken as acceptance of the creative work.

    After this review window, any tweaks or amendments will be billed at $150 USD per hour.

  • Any amendments to the terms and conditions outlined in this document must be submitted in writing by the Client and signed by an authorized representative of STUDIO PELZ before any of the work outlined in this document commences.

  • Circumstances outside the control of either party may result in the need to cancel a project. If the Client cancels a project after it has commenced, the advance payment (deposit) will be forfeited in lieu of compensation to STUDIO PELZ. This is to cover the design and administration time spent, the resources purchased and allocated, research time, and administrative costs.

    If the project is more than 50% complete at the time of cancellation (with completion determined by the Studio and the Client through negotiation), a pro-rata payment will be due for time spent up to the point of cancellation, billed at an hourly rate of $150 USD per hour.

    If a project is cancelled by the Studio due to unforeseen circumstances, the deposit will be refunded in full to the Client in a timely manner. In the event that the Client cancels the project, ownership of all copyrights and original artwork and files shall be returned to and retained by STUDIO PELZ.

  • It is agreed that the people working with STUDIO PELZ shall not, at any time during the course of the work outlined or afterward, disclose any of the Client's confidential affairs — or those of any of the Client's clients or associated companies — to any third party without the Client's prior written consent, except as required in the course of their duties.

  • STUDIO PELZ doesn't really think in terms of B2B or B2C. The way we see it, every project comes down to people working with people — so we'd rather just call it H2H (human-to-human) and leave it there. That perspective shapes how we run the studio. We lean heavily on honest, direct communication, and we'd much rather hear about a concern early than discover it later.     All that said, a Terms and Conditions document is something every business is expected to have — so the rest of this page is where we get the formalities out of the way.

    The document below is published by STUDIO PELZ (referred to from here on as "the Studio"). Before you commit to a project with us, please set aside the time to read it in full. Knowing what you're agreeing to matters, and we'd rather you go in with a complete picture than be caught off guard by a clause later on

    A few practical notes: the Studio may update these Terms and Conditions from time to time, and we reserve the right to do so without giving advance notice. The most current version will always live on this page, so it's worth checking back periodically — particularly before starting a new engagement. If anything below feels confusing or unclear, just send a message and we'll happily walk you through it.

  • Agreeing to work with the Studio — including the submission of a creative brief and payment of the project deposit — constitutes acceptance of these terms and conditions.

  • The agreed fee for creative services is the cost estimate provided via email, unless the scope of work undertaken exceeds what was originally outlined. If the work exceeds the items listed in the quote, the Client agrees to pay reasonable additional fees for any work outside the original agreement. Wherever possible, the Client will be informed in advance of any increase in scope.

  • The Client agrees to pay a 50% deposit of the quoted project total in order to begin any creative engagement, with the remaining balance due prior to delivery. Once research is underway, resources have been allocated, or any design or creative work has begun, this deposit becomes non-refundable. Should the Client experience a change of mind, the deposit will not be returned.

    The Studio aims to deliver creative work that meets — and ideally exceeds — what the Client is hoping for. However, in the event of a "change of mind" after a project has commenced, the initial 50% deposit will be forfeited in addition to a pro-rata charge based on time already spent. The Studio time-tracks every project, and our tiered hourly rate (based on the specialism required) is applied accordingly.

    If the work spans more than four calendar weeks, the Client agrees to progress payments equal to 50% of the remaining balance each month until the project is complete, with any outstanding amount payable in full at delivery.

    Invoices not paid on a cash-on-delivery basis will incur a late administration fee of $100 USD. Any accounts that remain unpaid 14 days after the invoice date will be subject to an additional late payment fee of 5% of the project cost for every week the payment is outstanding.

    If you're having trouble paying an invoice, please let us know as early as possible so we can work out an arrangement that's manageable for you and your business.

  • Accounts that remain unpaid 15 days after the invoice date will incur a late administration fee of $100 USD. Accounts that remain outstanding 30 days after the invoice date will incur an additional late payment fee of 5% of the project cost for every week the payment is outstanding.

    An account will be considered in default if it remains unpaid 30 days from the invoice date, or if the Client has explicitly stated that they do not intend to pay an invoice issued by STUDIO PELZ — unless prior arrangements have been made.

    The Studio reserves the right, at its sole discretion, to suspend any and all services it provides to the Client (including but not limited to hosting, websites, design files, concepts, artwork, and email), and to employ debt collection measures, until the outstanding balance has been paid in full. This includes any unpaid accounts for services rendered, including but not limited to design, hosting, domain registration, search engine submission, maintenance, subcontractors, printers, photographers, and image libraries — plus daily interest accrued on each day the payment is overdue. Suspension of these services does not relieve the Client of its obligation to pay the amount due. Files on third-party servers — such as hosted e-commerce platforms — will be removed and held until payment is made, or for 30 days, until the Client has paid all outstanding invoices in full.

    Any Client whose account is in default agrees to cover the Studio's reasonable legal expenses and any third-party collection agency fees incurred in the enforcement of these Terms and Conditions. STUDIO PELZ retains all copyright over the work performed until the full project cost has been paid. The Studio reserves the right to reuse or resell work in the case of payment default. The Studio accepts no liability or responsibility for any loss of income or damages incurred by the Client as a result of work being removed from third-party servers due to non-payment, and the Client agrees not to pursue legal action in connection with invoice disputes or the removal of disputed work in such cases.

  • The Client agrees to allow the Studio to feature any and all work produced over the course of a project as part of the STUDIO PELZ portfolio. We recognize that many projects are confidential in nature, and we commit to only showcasing project work after the product, site, or campaign has been publicly launched.

    The Client also agrees to allow the Studio to display websites and other design work, along with a link to the Client's site, on the STUDIO PELZ website for self-promotional purposes.

  • There are some situations where delivery of our work simply isn't possible on the original timeline — and where the cause is genuinely outside what we can plan for, STUDIO PELZ can't be held responsible for the resulting delay or failure to deliver. That covers events like war or acts of terrorism, natural disasters, fires, power outages, equipment or hosting provider failures, theft or vandalism, strikes, lockouts, industrial disputes, government-imposed restrictions, transport disruptions, civil unrest or riots, and accidents of any kind. If any of these get in the way of a project, we'll communicate as quickly and clearly as we can about what it means for your timeline.

  • Any work involving additions to the list of items outlined in the Estimate document, or any changes to finished artwork after it has been signed off on by an authorized representative of the Client.

    From time to time, a Client may have additional design needs partway through a project, or may need extra files once a project wraps. The Studio includes two rounds of minor changes per project at no extra charge, provided they fall within 10 days of the start of the review period. The review period begins the day the creative work is delivered to the Client by the Studio, whether that delivery happens electronically or physically.

    Minor changes are defined as small adjustments to text, colors, and design within reason, and as changes that take no more than 3 hours of studio time to execute. If a Client requests changes that fall outside the original estimate, we'll let them know in writing. If the Client wishes to proceed with those changes, written approval is required, and a fee of $100 USD per hour applies.

    If additional design work — beyond what was originally quoted — is requested during the design process, a progress payment will be required before further work begins. Otherwise, any additional costs will be added to the final invoice, payable before design files are delivered.

    Publication or release of work created on the Client's behalf by STUDIO PELZ will not occur until cleared funds have been received. Any booking fees, delivery fees, design commencement fees, or progress payments are non-refundable once work has begun, in the event that the Client terminates the contract after commencement.

  • While the Studio takes every reasonable care to avoid errors, STUDIO PELZ accepts no responsibility for typographical errors, spelling mistakes, or incorrect information on any project committed to print or production. It is the Client's responsibility to proofread and approve all final copy before artwork goes into production. Email verification by the Client's representative shall be considered conclusive approval of all artwork prior to its release for printing, implementation, or installation. No refunds or reprints will be provided after a final approved design has gone to print due to oversights in the Client's proofreading.

  • It is agreed that the Studio is not responsible or liable for any errors contained in the final product after the final product has been approved by the Client (whether that approval has been given in writing or verbally), committed to print, or placed in public view. The Studio will not be held responsible for any changes or amendments made after approval. It is solely the Client's responsibility to notify the Studio of any errors during the revision cycle and before final files are generated.

    In the event that a reprint is needed due to errors in content, the Client must notify the Studio within 3 days of accepting the product, and must return the product (at the Client's cost) within 10 days of acceptance so that it can be assessed. As with any print project, payment for reprinted work MUST be made in advance.

  • With all printing, there can be some color variation between what you see on screen and what the final printed product looks like, as well as variation between previous orders. This is simply the nature of CMYK printing and bulk-run print production. Reprints to address this kind of variation will not be carried out at the Studio's expense.

  • STUDIO PELZ retains full ownership of any design concepts and materials it creates. Once a final concept has been delivered and full payment has been received, full ownership rights to that concept transfer to the Client. Concepts that are not selected remain the property of the Studio. STUDIO PELZ may continue to use paid-for concepts in its own promotional materials and design portfolio.

    Unless the Client requests otherwise, the Studio retains the right to display a small byline crediting it as the designer on works it produces, except for corporate stationery. This granting of copyright does not extend to any design proposals or concepts submitted but not approved for the work outlined.

    Until final payment has been received, the Studio retains ownership of all artwork and website architecture. STUDIO PELZ reserves the rights to certain elements used in the creation of your projects, including RAW files, fonts, patterns, stock images, textures, color palettes, and other non-exclusive items. The Studio reserves the right to use stock images in the design process when required. Where these costs are not included in the original quote, they will be outlined to the Client prior to purchase.

    With the exception of the Studio's promotional use, all services provided are for the exclusive use of the Client's stated purposes. Designs may not be used for other promotional items, websites, or printed materials without prior permission. Once all invoices have been paid, reproduction rights for all approved final designs created by STUDIO PELZ will be outlined in the Project Proposal. For any additional usage, pricing will be assessed as needed.

    Licensing of copyright is subject to a mutual agreement between Client and designer. Copyright remains the property of the Studio until such an agreement is in place. As part of the Studio's standard terms of business, the copyright license is automatically released to the Client upon receipt of final payment for the commissioned work.

    The Studio reserves the right to use all artwork produced, all concepts created in the course of the project (including concepts not selected by the Client), and any revisions, for the purposes of promoting STUDIO PELZ in print or digital portfolios, on social media, and on blogs — except where the Client has specifically requested otherwise in writing.
